Van Andel Institute Authorization and Release

The undersigned individual (“Individual”) has agreed to assist and/or has assisted Van Andel Institute and its supporting and/or related organizations such as, but not limited to, Van Andel Research Institute, Van Andel Institute for Education, Van Andel Institute Graduate School (collectively “VAI”) by being photographed, taped, and/or recorded for purposes of providing educational programming, developing literary works, films, promotional materials, advertisements, or otherwise contributing audiovisual works or materials. For good and other valuable consideration, the receipt and sufficiency of which Individual hereby acknowledges, Individual agrees as follows:

1. Individual hereby gives his/her voluntary permission and consent to be photographed and/or recorded, through still photography, audio, video, and/or other means in connection with Individual’s relationship with VAI. Individual understands and agrees that all such photographs and recordings of Individual, whether created by Individual, VAI, or otherwise, in any form, including all underlying intellectual property rights and Individual’s name and likeness (collectively the “Material”), is the sole and exclusive property of VAI.
2. Individual hereby gives and grants in perpetuity to VAI and its trustees, officers, representatives, successors, assigns, licenses, employees, and any person, corporation, or entity acting under permission or with its authority, or for whom it might be acting (collectively referred to as the “Licensed Parties”) the following: the irrevocable, transferable, and royalty-free right, permission and license to create, publish, reproduce, display, publicly perform, distribute, create derivative works, and/or otherwise use: (i) the Material; and (ii) Individual’s name, voice, image, likeness, and biographical information for any reasonable purpose, including without limitation the advertising and promoting of any Licensed Party or their business interests, in audio, video, electronic, print, or any other form of media.
3. Individual hereby waives all rights of inspection or approval regarding uses of the Material and Individual’s name, image, likeness, and biographical information. Individual also hereby releases, discharges, and agrees to hold harmless the Licensed Parties from and against any and all liability to Individual or any third parties resulting from their use of the same.
4. Nothing herein shall constitute any obligation of the Licensed Parties to make any use of any of the rights granted herein. This Authorization and Release shall be binding upon Individual’s heirs, successors, assigns, and personal representatives, without regards to whether it is expressly acknowledged in any instrument of succession or assignment.
5. Individual represents and warrants that he/she is (18) years of age or older. Electronic signatures and electronically transmitted documents are binding.

FAIR PROCESSING NOTICE TO EUROPEAN RESIDENTS. To use your Materials, VAI will need to process personal data about you. VAI is the data controller (as defined in the General Data Protection Regulation 2016/679 (“GDPR”)) of such personal data. The personal data VAI will process about you that is subject to this Authorization and Release is: your name, image and likeness (contained in photographs and/or video footage), voice (contained in audio footage and/or video footage) and biographical information (including any information you provide to VAI such as your name, occupation, age, etc.). VAI’s purpose for processing this personal data is for educational purposes and/or advertising, promoting, marketing, merchandising, or publicizing VAI and its services. VAI’s lawful bases under GDPR for processing this personal data are that: (i) the processing is necessary for performance of your contract with VAI and (ii) the processing is in VAI’s legitimate business interests (in this case, education, advertising, promoting, marketing, merchandising or publicizing VAI’s services) and does not cause you unfair prejudice. VAI will only retain your personal data for as long as necessary to fulfil the purposes for which VAI collected it. The personal data VAI processes may be processed outside of your home country. If you are resident within the European Economic Area (“EEA”), this means that your personal data will be processed outside of the EEA, and VAI has taken required steps to ensure that the processing of your personal information is compliant with GDPR. Your personal data will also be disclosed to VAI’s third-party service providers that provide services related to the operation of VAI’s website and management of the content subject to this Authorization and Release. If you are a resident of the EEA, Switzerland or United Kingdom, you have certain rights regarding your personal data, including: the rights to access, correction, deletion, transfer, restriction, and objection. You may submit requests regarding these rights by contacting VAI as detailed at the end of this paragraph. If you would like to submit a complaint about VAI’s use of your personal data or response to your requests regarding your personal data, you may contact VAI as detailed at the end of this paragraph or submit a complaint to the data protection regulator in your jurisdiction.
